Public Offer Agreement

AI agent (Software, Service) — a software product developed by the Provider that performs sales automation, customer communication, and lead processing functions using artificial intelligence technologies.

Plan — a set of services providing access to the AI agent functionality, listed on the Provider’s website https://soldee.kz.

Website (Platform) — the Provider’s web resource located at https://soldee.kz, intended for reviewing, selecting, and purchasing plans, as well as interacting with the service.

Data processing — any actions performed with the Customer’s personal and other data, including collection, storage, use, transfer, and deletion, in accordance with the Law of the Republic of Kazakhstan “On Personal Data and Their Protection”.

Plan term — the period during which the Customer has access to the service functionality purchased under a specific plan.

Acceptance — the Customer’s full and unconditional acceptance of the terms of this Offer through payment for a plan on the Provider’s website or by another method agreed upon by the parties.

2.1. This Offer is published in accordance with Articles 395, 396, and 447 of the Civil Code of the Republic of Kazakhstan.

2.2. The Offer defines all material terms of the agreement between the Provider and the Customer.

2.3. The moment of conclusion of the Agreement is considered to be the moment of Acceptance by the Customer — payment for the plan listed on the website.

2.4. By accepting the Offer, the Customer confirms that they have reviewed its terms, as well as the Privacy Policy and Terms of Use published on the Provider’s website.

Customer: an individual or legal entity that has accepted this Offer. The Customer warrants the accuracy of the data provided and the authority to enter into this agreement.

4.1. The Provider undertakes to grant the Customer access to the AI agent service, within the selected plan, for the automation of sales and communications.

4.2. The Provider’s obligations are deemed fulfilled at the moment access to the service is granted to the Customer.

4.3. All rights to the software belong to the Provider. No exclusive rights are transferred.

4.4. The Provider has the right to engage third parties to provide services.

5.1. The Customer selects a plan on https://soldee.kz, registers, and makes payment.

5.2. After payment, access is granted within 30 minutes.

5.3. Payment confirms that the Customer has reviewed the functionality and agrees to the terms of use.

5.4. A paper copy of the agreement is provided upon request to info@soldee.kz.

6.1. The cost of services is specified on the Provider’s website.

6.2. Payment by residents is made in tenge (KZT); payment by non-residents — in the equivalent at the exchange rate of the National Bank of the Republic of Kazakhstan.

6.3. The plan term is 30 calendar days from the date of payment.

6.4. Upon expiration, the plan is automatically renewed unless the Customer has cancelled the subscription.

6.5. Subscription cancellation is available in the personal account.

A refund is possible if:

• access to the service was not granted;
• critical errors were identified that were not resolved within 5 business days;
• the service was not provided on time.

Services are deemed rendered at the moment access is granted.

The Provider is not liable for:

• improper use of the service;
• failures caused by the Customer’s equipment or internet connection;
• the inability to achieve expected results.

The Customer is prohibited from:

• modifying or copying the service code;
• transferring access to third parties without the Provider’s consent.

The parties are released from liability for failure to fulfil their obligations upon the occurrence of force majeure circumstances confirmed by documentation.

Disputes are resolved through negotiations; if not possible — in the judicial bodies of the Republic of Kazakhstan at the place of registration of the Provider.

• This Offer enters into force from the moment of acceptance.
• The Provider has the right to unilaterally amend the terms by publishing updates on the website.
• Continued use of the service constitutes acceptance of the changes.
